BRADFORD & BINGLEY RFC JUNIOR CLUB

RULES

TITLE AND OBJECTIVES

1. The Title of the Association is ‘Bradford & Bingley RFC Junior Club’ (Hereinafter called ‘theJuniorClub’).

2. The objectives of the Junior Club are:
a) To provide opportunities for young persons under the age of 18 on 1st September each year to develop as players of rugby union football in accordance with the laws and continuum of the English RFU.
b) To be part of Bradford & Bingley RFC, rather than a separate entity, and subject to the rules of Bradford & Bingley RFC where there are issues that the Junior Club rules do not cover and where the use of Bradford & Bingley RFC rules are appropriate.
c) To make a positive contribution to Bradford & Bingley RFC and Yorkshire RFU.

MEMBERSHIP

3. The Club Year shall be from 1 September in any one year to the next 31 August.

4. Membership of the Junior Club shall be open to any young person under the age of 18 at the start of the Club Year.

5. Applications for membership shall be made in writing in such forms as the Committee may decide from time to time and must be endorsed by the applicants parent or guardian and be accompanied by payment of the current membership fee. The Committee shall be entitled to decline to accept an application for membership, providing such decision is taken by two thirds of the Committee members present and voting at a meeting of the Committee.

6. Membership shall be for the year of application or, if taken up after 1 September, shall be for the remainder of the Junior Club Year.

7. The annual membership fee shall be fixed by the Committee at the meeting following the Annual General Meeting and shall take into account any discussions which shall have taken place at the Annual General Meeting.

8. If the Committee consider that in the interest of the Junior Club it is undesirable for any person to continue to be a member of the Junior Club, it shall be lawful by a resolution of two thirds of the members of the Committee present and voting, to require such member to retire from the Junior Club. The member in question shall be entitled to not less than seven days notice of the resolution and the meeting at which the resolution shall be considered. The member shall be entitled to attend such meeting accompanied by a parent or guardian for the purpose of answering questions and stating the reasons against their expulsion, but neither the member in question or their representative shall be entitled to be present at the discussion of the Committee. Within seven days of the meeting, a copy of the resolution shall be sent to the member by first class post. Should the decision be to expel, eight days after the copy of the resolution has been sent, the person who is the subject of the resolution shall cease to be a member of the Junior Club.

9. Any member who fails to renew their membership by payment of the membership fee prior to a final payment date which shall be decided by the Committee in the Junior Club Year, shall cease to be a member, providing the Committee have first given members not less than twenty one days notice of the final payment date by notice posted on the Junior Club Notice Board.

VOTING RIGHTS AT GENERAL MEETING

10. Members shall not be entitled to vote at General Meetings but may be represented by one parent or guardian who shall be entitled to cast not more than one vote on behalf of a member or members.

11. Elected members of the Committee shall be entitled to one vote at a General Meeting of the Club.

12. No person at a meeting may cast more than one vote, except that in the event of a tied vote the chair of the Meeting may have a second or casting vote.

13. Voting by proxy shall not be permitted.

14. Voting will be by a show of hands of those present and issued will be agreed by a simple majority. The validity of any vote will be decided by the chair of the General Meeting.




GENERAL MEETINGS

15. The Annual General Meeting of the Junior Club shall be held at a date in May each year. The date shall be decided by the Committee at a meeting not later than the preceding March.

16. Not later than 28 days prior to the date fixed for the Annual General Meeting the Secretary shall give notice of the meeting by posting an appropriate notice and agenda for the meeting on the Junior Club Notice Board.

17. The business which shall be conducted at the Annual General Meeting shall include:

i] To receive and, if considered appropriate, approve the accounts for the previous Club Year.
ii] To elect the officers of the Club for the following year.
iii] To elect the Managers and Coaches for each Team for the following year.
iv] Any other business provided it is given in the AGM notice.

18. All other general meetings shall be Extraordinary Meetings.

19. Extraordinary General Meetings shall be called either by the Secretary giving not less than 21 days notice of the meeting in accordance with a resolution by the Committee to hold a general meeting for the conduct of business specified in the resolution.

20. An Extraordinary Meeting may also be called by parents or guardians representing not less than fifteen members of the Junior Club who shall have signed a notice given to the Junior Club Secretary calling for a general meeting for the conduct of specific business on a date not less than 28 days from the date upon which the notice is given to the Secretary. Within six days of the Secretary receiving the notice at his usual address, he shall place a notice with details of the date, time and business of the meeting on the Junior Club Notice Board.

21. The quorum for a General Meeting shall be 15 persons who are entitled to vote. If, within half an hour of the appointed time for the start of the meeting, there are not sufficient persons present to establish a quorum, then the meeting shall be rearranged for a date seven days later to start at the same time. The Secretary shall immediately post a notice to this effect on the Junior Club Notice Board. If within half an hour of the appointed time for the start of the meeting, there are not sufficient persons present to establish a quorum, then the number of persons present shall constitute a quorum. Only that business mentioned in the notice may be transacted at an EGM. The Chair of the General Meeting will normally be the Chair of the Committee or in their absence the Vice Chair.

THE COMMITTEE

22. The management of the Junior club shall be conducted by the Executive Committee (called ‘the Committee’) which shall comprise the following elected officers:

Vice Chair
Secretary
Treasurer
Membership Secretary
Child Protection Officer
Fixture Secretary
Yorkshire RFU Representative
Coaching Co-ordinator
Social Secretary

The holders of the above offices shall be specified individuals, elected in the manner detailed in the following clauses. In addition, the Committee shall include each Team Manager, or such other person as a Team Manager may appoint as their representative for any particular meeting of the Committee. The Team Manager or their nominee will also be entitled to vote at meetings. In addition the Committee are authorised to coopt other persons for specific purposes or periods of the current Club Year. Cooptees shall be entitled to vote provided their co-option has been formally agreed and minuted at a previous Committee meeting.

23. The election of officers of the Committee shall take place at the Annual General Meeting of the Junior Club. At the same time as posting the notice of meeting on the Junior Club Notice Board, the Secretary shall also post a notice and form for the election of the officers of the Committee referred to in Clause 22, together with the Team Managers and Coaches for each team. Such notice shall include provision for the signature of the proposers and seconders of nominations and for nominees to confirm their willingness to serve, if elected.

24. The election for each and every office or position shall be by a simple majority of the votes cast at the Annual General Meeting. If there shall be only one nomination for any office or position, then the nominee shall be deemed to be elected, unless a resolution shall be approved for the nominee to be subject to a vote. If the sole nominee does not receive a simple majority of votes cast, then it shall be considered that there is no nomination. If there shall be no nomination for an office or position then nominations may be made at the meeting and the person receiving a simple majority of votes cast shall be elected.

25. If any position shall not be filled at the Annual General Meeting, as detailed above, the Committee shall be entitled to elect a person at one of its meetings by a simple majority vote.

26. The quorum for a Committee Meeting shall be six persons who are entitled to vote. If within half an hour of the appointed time for the start of the meeting, there are not sufficient persons present to establish a quorum, then the meeting shall be rearranged for a date seven days later to start at the same time. The Secretary shall immediately post a notice to this effect on the Junior Club Notice Board. If within half an hour of the appointed time for the start of the meeting, there are not sufficient persons present to establish a quorum, then the number of person present shall constitute a quorum.

27. If a Committee position becomes vacant during the year, the position may be filled at the Committees discretion, with the exception of the position of Chair where a replacement must be agreed by the Committee by a 2/3 majority of those present and voting.

28. All Committee members have a single vote with the exception of the Chair who will have a casting vote.

29. A Committee member may only be removed by 2/3 majority of an EGM specifically called to remove them.

FINANCES

30. The financial year of the Junior Club shall be the same as the Club Year.

31. The funds of the Junior Club shall be under the control of the Committee. No funds shall be paid out without the authority of the Committee.

32. The signatories to all Junior Club bank accounts shall include the Treasurer, The Chair, The Secretary, and such other persons as the Committee may from time to time decide. No monies may be paid away without the signature of at least two authorised signatories.

33. Any funds held by any section, team or part of the Junior Club must be held in an account bearing the name of Bradford & Bingley Rugby Club and be notified to the Treasurer. The Treasurer must be a signatory to all such accounts and copies of all statements must be supplied to him.

34. If, upon winding up or dissolution of the Junior Club, there remains any funds or assets after the payment of all its debts and liabilities, these shall be transferred to the Bradford & Bingley RFC.

INTERPRETATION OF THE RULES

35. In the event of uncertainty of the meaning or interpretation of this constitution, the interpretation shall be decided by the President for the time being of the Bradford & Bingley RUFC.

POWERS

36. Only those powers conferred by this constitution are available for use. Any additional powers can only be conferred by the General Meeting.

37. The Committee may agree such standing orders or procedures within these rules to allow for the smooth running of the club.
